Voltaire AI Solutions' total aggregate liability for any and all claims will not exceed the total fees actually paid by the client to Voltaire AI Solutions in the three (3) months preceding the event giving rise to the claim. These limits apply regardless of the theory of liability and form an essential basis of the bargain.
9. Disclaimer of Warranties
All services and deliverables are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Voltaire AI Solutions does not warrant that the services or any AI-generated outputs will be accurate, error-free, uninterrupted, or will achieve any particular result, revenue, saving, or business outcome. AI systems can produce incorrect or incomplete results; the client is responsible for reviewing, validating, and supervising all outputs before relying on them.
10. Indemnification
You agree to indemnify, defend, and hold harmless Voltaire AI Solutions from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of our Website or Services, your violation of these Terms or any law, or any AI implementations you deploy based on our Services. This obligation survives termination of these Terms.
11. No Refunds
All fees are non-refundable, including one-time build fees and recurring retainer fees, except as expressly stated in a signed agreement. Build fees are earned upon delivery of the agreed deliverable; retainer fees are earned for the period to which they apply.
12. Billing Disputes
The client agrees to raise any billing dispute directly with Voltaire AI Solutions in writing and allow fifteen (15) days to resolve it before initiating any payment dispute or chargeback. Initiating a chargeback for services rendered in accordance with the agreement constitutes a breach, and the client remains responsible for the disputed amount plus associated fees and reasonable collection costs.
13. Third-Party Services
Voltaire AI Solutions' solutions are built on and integrate third-party platforms (including AI providers and business tools). Voltaire AI Solutions is not responsible for the availability, performance, pricing, changes, discontinuation, or data practices of any third-party service, or for any loss arising from them.
14. Dispute Resolution
- Good-faith negotiation: the parties will attempt to resolve any dispute through good-faith negotiation for thirty (30) days after written notice.
- Binding arbitration: any unresolved dispute shall be determined by binding arbitration administered in Miami-Dade County, Florida.
- Waiver of jury trial and class actions: you waive any right to a jury trial and agree that claims will be brought only in your individual capacity, not as a class member.
15. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The exclusive venue for any matter not subject to arbitration is the state or federal courts located in Miami-Dade County, Florida.
16. Governing Language
In the event of any conflict between the English and Spanish versions of these terms, the English version governs.
17. General
If any provision is held unenforceable, the remaining provisions remain in effect. These Terms, together with our Privacy Policy, are the entire agreement regarding the Website; signed service agreements govern specific engagements and control in the event of a conflict. Our failure to enforce a provision is not a waiver. We may assign these Terms; you may not without our consent.
